Can a unitholder of the company be its Director?<\/strong><\/p>\n<li>The number of unitholders and members of the board is not restricted by law. Firm must have at least one unitholder and at least one member of the management board. The same person can be a unitholder and a board member.<\/li>\n<\/ul>\n<ul><strong>Does the company need a legal address?<\/strong><\/p>\n<li>Each company established on the territory of Estonia must have a legal address. If you do not have your own address in the territory of Estonia, we will provide you with our legal address for company registration. More information about this service can be found <a href=\u201dhttp:\/\/www.kalashnikov.ee\/kupit-firmu\/virtualnyy-ofis\u201d>here<\/a><\/li>\n<\/ul>\n<ul><strong>In what cases the company needs a contact person?<\/strong><\/p>\n<li>In case if there is not a single resident of Estonia in the board, the company is obliged to appoint a contact person to whom it is possible to deliver procedural documentation and statements of third-parties will addressed to the board of the company. What are the ways of contributing the authorized capital?<\/strong><\/p>\n<li>The minimum authorized capital in case of LLP is EUR 2500. It is not necessary to contribute the authorized capital immediately upon the establishment of the company \u2013 the Commercial code of Estonia provides for the possibility of a deferred contribution of the authorized capital (also for an indefinite period). The deferred contribution of the authorized capital does not impose significant restrictions on the activity of the company. If you want to contribute the authorized capital, you can make it in cash to the bank account of the company (including start-up capital) or make a non-cash payment by transferring the personal property to the company (computers, telephones, etc.) for the amount of EUR 2500 (recommended option).<\/li>\n<\/ul>\n<ul><strong>What documents do I need to have in case of establishment or purchase of the company in personal presence in Estonia?<\/strong><\/p>\n<li>If you want to make the procedure of establishment or purchase of the company in the personal presence at the Estonian notary, you need to have only a passport of the citizen of Ukraine<\/li>\n<\/ul>\n<ul><strong>Is it possible to establish or purchase a ready-made company and become a member of the board without personal presence in Estonia?<\/strong><\/p>\n<li>Yes, it is possible. For remote implementation of the procedure of establishing or purchasing a ready-made company, notarized power of attorney from the client in favour of our lawyers will be required. We will provide you with all the necessary power of attorney templates and guidelines for their drawing.<\/li>\n<\/ul>\n<ul><strong>What documents are required for the establishment of a new or purchase of a ready-made company in Estonia?<\/strong><\/p>\n<li>In order for you to be able to establish a new or purchase a ready-made company without personal presence (remotely from Ukraine), we will need a notarized power of attorney for the establishment of a new company or the purchase of units, a notarized consent to become a member of the board of the company, a notarized copy of the passport and a completed client questionnaire.<\/li>\n<\/ul>\n<ul><strong>Do I need to apostille the power of attorney and other notarial documents drawn up in Ukraine?<\/strong><\/p>\n<li> No. According to <a href=\"https:\/\/www.notar.ee\/orb.aw\/class=file\/action=preview\/id=31779\/%C4%EE%E3%EE%E2%EE%F0+%EE+%EF%F0%E0%E2%EE%E2%EE%E9+%EF%EE%EC%EE%F9%E8+%F1+%D3%EA%F0%E0%E8%ED%EE%E9+%ED%E0+%F3%EA%F0%E0%E8%ED%F1%EA%EE%EC+%FF%E7%FB%EA%E5.pdf\" target=\"_blank\">the agreement on legal assistance<\/a> concluded between Estonia and Ukraine in 1995, additional apostilled confirmation of the official documents made in Ukraine is not required<\/li>\n<\/ul>\n<ul><strong>How fast is the process of establishing or buying a ready-made company?<\/strong><\/p>\n<li>The commercial register of the Republic of Estonia will make a note on the establishment of a new company or change of the owners and members of the management board of a ready-made company within 5 working days from the date of the relevant notarial procedure. If we carry out notarial procedure of establishment or purchase and sale of a ready-made company by power of attorney, we make it within 5 working days from the moment we receive a set of powers of attorney and payment.<\/li>\n<\/ul>\n<ul><strong>Is it possible to open a bank account in the name of an Estonian company without personal presence (remotely, by attorney)?<\/strong><\/p>\n<li>No, it is not possible. In most cases, for opening of a bank account in an Estonian bank, it is essential for a member of the management board of the company to be present at the representative office of the credit institution in order to verify identity and meet the requirements of AML\/KYC. Some banks offer the possibility to submit an initial application and identify the person using the e-resident card, i.e. a personal visit is necessary only in case of a positive decision of opening an account by the bank<\/li>\n<\/ul>\n<ul><strong>Is it possible to open a bank account in the name of an Estonian company outside Estonia?<\/strong><\/p>\n<li>Yes, it is possible. The legislation of the Republic of Estonia does not impose any restrictions on the opening of bank accounts in foreign countries by Estonian companies. How often it should be done?<\/strong><\/p>\n<li>The obligation to keep accounting records includes the need to submit annual reports (annual balance sheet) to the Estonian Commercial register, as well as, if the company is a VAT payer, monthly reports to the Tax and Customs Board on turnover tax (KMD-declaration) and income tax (TSD-declaration).<\/li>\n<\/ul>\n<ul><strong>How much does it cost to establish a new or buy a ready-made company in Estonia? What services are included in the price?<\/strong><\/p>\n<li>The cost of a full package for the establishment of a new or purchase of a ready-made company is EUR 900. This price includes all possible costs related with this procedure, namely, the payment of state fees and notary fees, the service of the legal address and contact person for one year, as well as the drawing of the constituent documentation of the company and the procedure itself on the basis of powers of attorney without the personal presence of the client.<\/li>\n<\/ul>\n<ul><strong>How can you pay for the services of our law office?<\/strong><\/p>\n<li>Payment for the services of our law office is based on an individual invoice.
